The Sharp Factory Subscription Agreement

This is an agreement between you and Sun Code Factory LLC the operator of The Sharp Factory products and services. It governs your use of any software, content, materials, or services that you receive through your Sharp Factory Subscription (“Subscription”).

1. Subscriptions. Subscriptions are temporary and end when the applicable Monthly or Annual Subscription ends. There are three Subscription options:

2. Subscribers. In this agreement, “you” or “subscriber” means the named, designated person who is registered and has a valid Subscription. Only one person may use or access a single Subscription at any given time. If the subscriber is a company, the company must assign the Subscription to one person within the company, and only that person may use or access the Subscription or any Subscription benefits.

3. Use Rights. A Subscription provides you with access to either Sharp Factory Professional Edition or Sharp Factory FREE Edition software (“SF Software”) and additional software and Subscriber benefits (as referenced below), depending on the Subscription option selected. The software is licensed as follows:

   • Trial Subscription. SF Software acquired through a FREE Trial Subscription is subject to the Sharp Factory Subscription license terms.

   • Monthly Subscription. SF Software acquired through a Monthly Subscription is subject to the Sharp Factory Subscription license terms.

   • Annual Subscription. SF Software acquired through a Annual Subscription is subject to the Sharp Factory Subscription license terms.

4. Ending a Subscription. You may cancel your Subscription at any time, effective at the end of your current Subscription term. Your Subscription ends if you do not pay the Subscription fee for the next Subscription term. Sun Code Factory LLC may suspend or terminate your Subscription if Sun Code Factory LLC believes that you have failed to comply with any part of this agreement, such as sharing log-in credentials or enabling multiple users for one Subscription. If your Subscription ends for any reason:

   • the SF Software will stop working;
   • you may no longer access or use your Subscription benefits; and
   • you must stop using and uninstall any and all software acquired through the Subscription.

5. Support Services. Sun Code Factory LLC may provide support services for the software through the email address support@thesharpfactory.com. Any support obligation for software you acquire through the Subscription will end when your Subscription ends.

6. Limited Warranty. The Limited Warranty in the relevant license terms, referenced in Section 3 above, will apply for the shorter of (a) the period in that warranty or (b) the duration of the Subscription running from the date you download the software.

7. Entire Agreement. This agreement, the terms referenced herein, and the terms for supplements, updates, Internet-based services and support services that you use, are the entire agreement for the Subscription. If this agreement gives you more rights than the license terms referenced herein, you have those additional rights.
